Terms of service

Template text. The operator of this site must review and adapt it to their company, jurisdiction and services before relying on it.
1Agreement
These terms govern the software development, hardware and AI services provided by Texture9 ("we", "us"). Each engagement is described in a written proposal or statement of work that you accept on behalf of yourself or the organisation you represent. Where a proposal and these terms differ, the proposal applies.
2Proposals and changes
A proposal sets out the scope, deliverables, timeline and price. Work outside that scope, or changes you request, are agreed in writing before we carry them out and may change the price or the timeline.
3Fees and payment
Fees, payment milestones and due dates are set out in the proposal. Support and maintenance plans are billed in advance for each period. We may pause work while an invoice is overdue.
4Your responsibilities
You give us timely access to the people, information, systems and premises the work needs. You are responsible for the accuracy of the information and data you provide, and for having the right to share it with us.
5Ownership
Once you have paid in full, you own the deliverables created specifically for you, including source code, configurations and documentation. We keep ownership of the tools, libraries and know-how we had before the engagement, and grant you a licence to use any that form part of the deliverables. Third-party and open-source components remain under their own licences.
6Hardware
Hardware is supplied with the manufacturer's warranty, which we pass on to you. Ownership passes to you on full payment and risk passes on delivery. Repairs not covered by a warranty or a maintenance plan are quoted separately.
7AI systems
AI systems produce probabilistic output and can be wrong. We agree accuracy targets and review steps with you, but you remain responsible for decisions taken using the system's output.
8Confidentiality and data
Each party keeps the other's confidential information confidential. Where we process personal data on your behalf, we do so only on your instructions and under a data processing agreement where the law requires one.
9Warranty and support
We fix defects in our work that are reported within the warranty period stated in the proposal. Support, maintenance and changes after that period are provided under a separate plan.
10Liability
To the extent permitted by law, our liability is limited to the fees you paid for the engagement in the twelve months before the claim, and we are not liable for indirect or consequential losses.
11Ending an engagement
Either party may end an engagement as set out in the proposal. You pay for work done and hardware ordered up to that date, and we hand over the work completed so far.
12Changes and contact
We may update these terms; changes do not affect proposals you have already accepted. Questions: [email protected].
